1. Acceptance of Terms

By accessing or using Nucleora software ("Software"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Software.

2. Description of Service

Nucleora is a local-first DNA and mRNA design software for research and educational purposes. The Software provides tools for codon optimization, mRNA construct design, RNA folding analysis, and related molecular biology workflows.

3. License Grant

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Software for:

  • Personal research and education
  • Academic and non-commercial scientific work
  • Commercial use only with a valid commercial license

4. Restrictions

You may NOT:

  • Copy or distribute the Software or any portion thereof
  • Modify, adapt, or create derivative works based on the Software
  • Reverse engineer, decompile, or disassemble the Software
  • Sell, rent, lease, or sublicense the Software or access to it
  • Remove or alter any proprietary notices, labels, or marks
  • Use the Software to develop competing products
  • Share your account credentials or allow unauthorized access
  • Use the Software for any illegal purpose

5. Account Responsibilities

If you create an account, you are responsible for:

  • Maintaining the confidentiality of your credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized use
  • Providing accurate and current information

6. Intellectual Property

The Software, including all code, documentation, graphics, user interface, and content, is owned by Leo Rojas and is protected by copyright, trademark, and other intellectual property laws. All rights not expressly granted are reserved.

"Nucleora" and the Nucleora logo are trademarks of this project. Third-party names (NCBI, UniProt, Ensembl, etc.) are property of their respective owners and are used for identification and interoperability only.

7. Your Data

You retain all rights to your sequence data, designs, and scientific work. The Software operates locally on your computer — we do not access, collect, or store your scientific data. You are responsible for backing up your own work.

8. Disclaimer of Warranties

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. We expressly disclaim all warranties, express or implied, including but not limited to:

  • Warranties of merchantability and fitness for a particular purpose
  • Warranties of accuracy, reliability, or completeness of results
  • Warranties that the Software will be uninterrupted or error-free

9. Medical and Regulatory Disclaimer

NUCLEORA IS NOT A MEDICAL DEVICE. The Software:

  • Does not provide clinical, diagnostic, or therapeutic advice
  • Does not replace professional scientific judgment
  • Does not guarantee the safety or efficacy of any designed construct
  • Does not constitute regulatory compliance verification

Any construct intended for use in cells, animals, or humans must go through your institution's biosafety (IBC) review and appropriate regulatory channels before use. You are solely responsible for validating all designs at the bench.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL WE BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, data, use, or goodwill
  • Any damages arising from your use of the Software
  • Any damages arising from designs created using the Software

Our total liability shall not exceed the amount you paid for the Software in the twelve (12) months preceding the claim.

11. Indemnification

You agree to indemnify and hold us harmless from any claims, damages, losses, or expenses (including reasonable attorney fees) arising from:

  • Your use of the Software
  • Your violation of these Terms
  • Your violation of any third-party rights
  • Any constructs or designs you create using the Software

12. Termination

We may terminate or suspend your access to the Software immediately, without prior notice, for any reason, including breach of these Terms. Upon termination:

  • Your license to use the Software ends immediately
  • You must cease all use of the Software
  • You must delete all copies of the Software in your possession

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website. Your continued use of the Software after such changes constitutes acceptance of the new Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to conflict of law principles. Any disputes shall be resolved in the courts of competent jurisdiction.

15. Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions shall continue in full force and effect.

16. Entire Agreement

These Terms constitute the entire agreement between you and us regarding the Software and supersede all prior agreements and understandings.
